1. Introduction & Acceptance

Welcome to Wpixum. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and digital products. By engaging with Wpixum — whether through our website, submitting an inquiry, signing a service agreement, or making a payment — you confirm that you have read, understood, and agree to be bound by these Terms.

These Terms apply to all international clients, regardless of their country of residence or incorporation. If you do not agree with any part of these Terms, you must not use our services.

2. About Wpixum

Wpixum is a digital agency headquartered in Dhaka, Bangladesh, specialising in:

We serve clients across the globe, including clients in North America, Europe, the Middle East, Australia, and Asia-Pacific.

3. Services

All services provided by Wpixum are subject to a separate written service agreement or project proposal agreed upon between the client and Wpixum. These Terms apply alongside that agreement. In the event of any conflict, the signed service agreement shall take precedence.

Wpixum reserves the right to modify, suspend, or discontinue any service offering at any time with reasonable prior notice to active clients.

4. Client Responsibilities

By engaging our services, you agree to:

  • Provide accurate, complete, and up-to-date information required for project delivery.
  • Respond to requests for approvals, feedback, and materials within agreed timelines.
  • Ensure that all content, materials, or assets provided to Wpixum are legally owned by you or properly licensed for use.
  • Not use our deliverables for any unlawful, deceptive, or harmful purpose.
  • Comply with all applicable local and international laws governing your use of our services and deliverables.

5. Payment Terms

Payment terms are outlined in each project proposal or service agreement. General terms include:

  • Invoices are issued in US Dollars (USD) unless otherwise agreed in writing.
  • A deposit (typically 50%) is required before any project commences, with the balance due upon delivery or at milestones specified in the agreement.
  • International wire transfers, PayPal, and other agreed payment gateways are accepted. Any bank transfer fees or currency conversion charges are the sole responsibility of the client.
  • Late payments beyond 14 days of the due date may incur a late fee of 2% per month on the outstanding balance.
  • Wpixum reserves the right to pause work on active projects until overdue invoices are settled.

6. Intellectual Property Rights

Upon receipt of full payment for a project, Wpixum assigns to the client full ownership of the final deliverables specifically created for that project, including custom code, designs, and creative content.

The following remain the exclusive property of Wpixum and are not transferred to the client:

  • Pre-existing tools, frameworks, libraries, proprietary methodologies, and software developed by Wpixum prior to the project.
  • Any third-party assets, stock content, or licensed components used in the project (subject to their respective third-party licences).
  • Internal processes and development workflows.

The client grants Wpixum a non-exclusive, royalty-free licence to use the project and the client’s name/logo in our portfolio, case studies, and marketing materials, unless the client explicitly requests otherwise in writing prior to project commencement.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of the engagement. This obligation continues for a period of two (2) years after the conclusion of services. Wpixum will not disclose client information to third parties without consent, except where required by law or necessary to deliver the agreed services (e.g., involving trusted subcontractors under equivalent confidentiality obligations).

8. Revisions & Scope Changes

Each project proposal specifies a defined number of revision rounds. Requests that fall outside the agreed project scope — including additional features, significant redesigns, or additional platforms — will be treated as a new or extended scope and may incur additional charges.

All scope changes must be agreed upon in writing (email is acceptable) before work begins on the amended scope.

9. Cancellation & Refund Policy

If a client wishes to cancel a project:

  • Cancellations made within 48 hours of the initial deposit, before any work has commenced, are eligible for a full refund.
  • Cancellations after work has commenced will be charged for the work completed to date. Any deposit or payment received beyond the value of work completed may be refunded at Wpixum’s discretion.
  • Wpixum reserves the right to terminate a project engagement if the client breaches these Terms or fails to make payment. In such cases, completed work remains the property of Wpixum until all outstanding amounts are paid in full.

10. Warranties & Disclaimers

Wpixum delivers services with professional care and skill. However:

  • We do not guarantee specific business outcomes, traffic volumes, conversion rates, or search engine rankings unless explicitly stated in writing.
  • Third-party platforms, tools, and services (e.g., Google, Meta, hosting providers) are beyond our control, and we accept no liability for changes, outages, or policy updates by those platforms.
  • Our website and services are provided ‘as is’. While we strive for accuracy, we do not warrant that information on our website is always current or error-free.

11. Limitation of Liability

To the fullest extent permitted under applicable law, Wpixum’s total liability to the client for any claim arising from or relating to these Terms or the services provided shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

Wpixum shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.

12. Force Majeure

Wpixum shall not be held liable for delays or failures in performance resulting from events beyond our reasonable control, including but not limited to: natural disasters, government actions, internet or infrastructure failures, pandemics, or civil unrest. In such events, Wpixum will notify the client promptly and endeavour to resume services as soon as practicable.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People’s Republic of Bangladesh. For international clients, both parties agree to first attempt to resolve any dispute amicably through good-faith negotiation within 30 days of written notice of the dispute.

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Dhaka, Bangladesh, conducted in English, under internationally recognised arbitration principles. Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.

14. Amendments to These Terms

Wpixum reserves the right to update these Terms at any time. Updated Terms will be published on our website with a revised effective date. Continued use of our services after such updates constitutes your acceptance of the revised Terms. We encourage clients to review this page periodically.
